Exit any applications (especially Eudora) you are running. 2. If you are installing from a software archive, put the archive into a directory on your PC and double-click on it to start the self-extracting installer. 3. Read the Welcome screen, then click Next. The Software License Agreement is displayed. 4. Read the Software License Agreement and click Next (you can also save or print the Agreement). 5. Specify a directory to install PureVoice, then click Next. Note: If you are installing on a PC with Eudora, you should install it under the plugins directory (default) to take advantage of the EMSAPI plug-in of PureVoice. 6. Verify that the displayed settings are correct, then click Next (or use the Back button if you need to go back and make changes). 7. QUALCOMM grants to LICENSEE a nonexclusive, non-transferable, limited license to (i) use the QUALCOMM PureVoice Software only on general-purpose desktop computer systems or servers running on Windows, Macintosh, Linux or Unix operating systems, and (ii) solely for LICENSEE's own personal or internal business purposes and therefore LICENSEE may not commercially distribute, sublicense, resell, or otherwise transfer for any consideration, or reproduce for any such purposes, the QUALCOMM PureVoice Software either alone or in conjunction with any other product or program, or (iii) solely for the purpose of creating application programs ("Application Programs") which may run only on general-purpose desktop computer systems or servers running on Windows, Macintosh, Linux or Unix operating systems. LICENSEE shall have no right to alter, modify, dis-assemble, translate or adapt the QUALCOMM PureVoice Software or create derivative works thereof. With respect to the rights granted under (iii) above, the Application Programs must receive the entire .wav file and store it in memory before encoding to QCELP by the QUALCOMM PureVoice Software. LICENSEE is permitted to use the QUALCOMM PureVoice Software (directly or through Application Programs) only to encode and/or decode packetized audio information in compliance with the Telecommunications Industry Association's IS-733 speech standard, as it now exists or may be revised to exist in the future. QUALCOMM retains all ownership rights in and to the QUALCOMM PureVoice Software. LICENSEE may distribute the QUALCOMM PureVoice Software when embedded (or made a part of) Application Programs only through sublicenses in the form attached hereto. Except as expressly permitted above, LICENSEE shall not use the QUALCOMM PureVoice Software for any other purpose. License Restrictions. LICENSEE is not permitted to use the QUALCOMM PureVoice Software or create Application Programs to run on digital signal processors (DSPs) or Application-Specific Integrated Circuits (ASICs), or in any manner in which the Application Programs are "burned" into ROM (read only memory) or flash ROM or otherwise permanently imbedded; Application Programs may run only on RAM (random access memory). LICENSEE is not permitted to use the QUALCOMM PureVoice Software to create Application Programs that (i) are placed on integrated circuits in portable devices, or (ii) provide transcoding that enables real-time voice communication. LICENSEE is not permitted to use the QUALCOMM PureVoice Software and/or any of its components or Application Programs as part of any wireless communication technology or device. In no event shall the Application Program be implemented on servers which decode QCELP encoded content. QUALCOMM Ownership. LICENSEE acknowledges and agrees not to contest that QUALCOMM is the sole and exclusive owner of all rights, title and interest, including copyrights, trademarks, patents and trade secrets in the QUALCOMM PureVoice Software, as well as the underlying QUALCOMM code which exists in the Application Programs. LICENSEE shall retain ownership of the Application Programs with respect to all original code which it adds or inserts in the Application Programs (the "Original Code"). Such ownership rights to the Application Programs will not extend to any portion of the Application Programs which contains QUALCOMM code. The foregoing notwithstanding, QUALCOMM shall have no right or interest in the Original Code. Except for the rights expressly enumerated herein, LICENSEE is not granted any rights to patents, copyrights, trade secrets, trade names, trademarks (whether or not registered), or any other rights or licenses with respect to the QUALCOMM PureVoice Software or Application Programs. With respect to LICENSEE's use of the QUALCOMM PureVoice Software for Application Programs, LICENSEE agrees to include a copy of the End-User License Agreement (attached hereto as Exhibit A), QUALCOMM's copyright and other proprietary notices and disclaimer of warranty, on any copy of its Application Programs and to distribute Application Programs only in a manner that requires an end user's binding consent to the terms of the End User License Agreement. LICENSEE agrees to promptly notify QUALCOMM of any breach or alleged breach of the End User License Agreement of which LICENSEE becomes aware, and LICENSEE shall use reasonable efforts to enforce the terms and conditions applicable to the Application Programs, or any component thereof, contained in such license. Proprietary Notices. In order to protect the copyright and other ownership interests of QUALCOMM and its licensors, LICENSEE agrees that, as a condition of its rights hereunder, all copyright and other proprietary notices which are embedded in or appear on tangible copies of the QUALCOMM PureVoice Software and its associated documentation shall also appear in the same manner in each such copy of the Application Programs. Trade Secrets. LICENSEE acknowledges and agrees that those techniques, algorithms, and processes contained in the QUALCOMM PureVoice Software which have been developed, acquired, or licensed by QUALCOMM, or any modification or extraction thereof, constitute trade secrets of QUALCOMM or its licensors, and LICENSEE agrees that they will be used by LICENSEE only in accordance with the terms of this Agreement. LICENSEE shall, by all necessary means, protect the proprietary rights of QUALCOMM in the QUALCOMM PureVoice Software and the Application Programs, including without limitation, securing and/or maintaining employee confidentiality agreements, security access to the QUALCOMM PureVoice Software, password protection, numbered copies, and preserving all legal and equitable remedies available. LICENSEE shall not disseminate any portion of the QUALCOMM PureVoice Software or the Application Programs, or any computer software or hardware embodying or based upon the foregoing, to any third party for any reason whatsoever, except as expressly provided for in this Agreement. Such obligations shall not apply to information that (i) has entered the public domain through no effort or action by LICENSEE; (ii) was independently developed by LICENSEE (for example, Original Code when used separately from the Application Programs); (iii) was rightfully disclosed to LICENSEE without confidentiality restrictions by a third party; and (iv) is required to be disclosed by governmental law, regulation or order. Unauthorized Distribution or Copying. LICENSEE acknowledges and agrees that it is prohibited from distributing, copying, duplicating, using or otherwise reproducing all or any part of the QUALCOMM PureVoice Software or Application Programs, except as expressly provided for in this Agreement. LICENSEE further agrees that (i) distributing, copying, duplicating, or otherwise reproducing all or any part of the QUALCOMM PureVoice Software or Application Programs, except as expressly provided for in this Agreement, or (ii) failing to protect the QUALCOMM PureVoice Software shall be considered a material breach of this Agreement. Derivative Rights. QUALCOMM shall have derivative rights to any interface code written for or used with the QUALCOMM PureVoice Software by LICENSEE. Proprietary Information. LICENSEE shall not allow any third party to modify, alter, attempt to disassemble, decompile, or otherwise reverse engineer the Application Programs. When reverse engineered and decompiled, the Application Programs contain the trade secrets and proprietary and confidential information of QUALCOMM. Provided that this prohibition shall not apply with respect to the Original Code. Ownership of Trademarks. LICENSEE acknowledges the ownership of the QUALCOMM trademarks by QUALCOMM. LICENSEE shall not do anything which is inconsistent with such ownership. LICENSEE shall use commercially reasonable efforts to preserve QUALCOMM's rights in the QUALCOMM trademarks. All use of the QUALCOMM trademarks by LICENSEE shall inure to the benefit and be on behalf of QUALCOMM. LICENSEE acknowledges that LICENSEE's utilization of the QUALCOMM trademarks will not create in it, nor will it represent it has, any right, title, or interest in or to such QUALCOMM trademarks other than the licenses expressly granted herein. LICENSEE shall not do anything to contest or impair the trademark rights of QUALCOMM. Costs and Support. LICENSEE is solely responsible for all costs and expenses incurred in connection with the creation and distribution of the Application Programs and all support activities relating to the Application Programs. QUALCOMM shall have no obligation to provide maintenance, support, upgrades or new releases of the QUALCOMM PureVoice Software to LICENSEE or to any distributee of the Application Programs. Warranty Disclaimer. THE QUALCOMM PUREVOICE SOFTWARE IS PROVIDED TO THE LICENSEE ''AS IS.'' QUALCOMM MAKES NO WARRANTIES, EITHER EXPRESS OR IMPLIED, WITH RESPECT TO THE QUALCOMM PUREVOICE SOFTWARE AND/OR ASSOCIATED MATERIALS PROVIDED TO THE LICENSEE, INCLUDING BUT NOT LIMITED TO ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR AGAINST INFRINGEMENT. QUALCOMM DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE QUALCOMM PUREVOICE SOFTWARE WILL MEET YOUR REQUIREMENTS, OR THAT THE OPERATION OF THE QUALCOMM PUREVOICE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS IN THE QUALCOMM PUREVOICE SOFTWARE WILL BE CORRECTED. FURTHERMORE, QUALCOMM DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE QUALCOMM PUREVOICE SOFTWARE OR ANY DOCUMENTATION PROVIDED THEREWITH IN TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY QUALCOMM OR A QUALCOMM AUTHORIZED REPRESENTATIVE SHALL CREATE A WARRANTY OR IN ANY WAY INCREASE THE SCOPE OF THIS WARRANTY. Limitation of Liability. QUALCOMM IS NOT LIABLE FOR ANY CLAIMS OR DAMAGES WHATSOEVER, INCLUDING PROPERTY DAMAGE, PERSONAL INJURY, INTELLECTUAL PROPERTY INFRINGEMENT, LOSS OF PROFITS, OR INTERRUPTION OF BUSINESS, OR FOR ANY SPECIAL, CONSEQUENTIAL OR INCIDENTAL DAMAGES, HOWEVER CAUSED, WHETHER ARISING OUT OF BREACH OF WARRANTY, CONTRACT, TORT(INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE. Export Restrictions. LICENSEE shall comply with all applicable laws and regulations in effect in the country, state or province in which it distributes the Application Programs and with the material provisions of all U.S. laws and regulations which apply to the QUALCOMM PureVoice Software and Application Programs, including but not limited to the U.S. Export Administration Regulations ("EAR"), as such laws and regulations may be amended from time-to-time. LICENSEE agrees that neither it nor its customers intend to or will, directly or indirectly, transport the QUALCOMM PureVoice Software or any derivative products thereof to any country to which such export or transmission is restricted by any applicable U.S. regulation or statute, without the prior written consent, if required, of the Bureau of Export Administration of the U.S. Department of Commerce or any other government entity with jurisdiction over such transport. Injunctive Relief. It is understood and agreed that, notwithstanding any other provisions of this Agreement, breach of the provisions of this Agreement by LICENSEE will cause QUALCOMM irreparable damage for which recovery of monetary damages would be inadequate and that QUALCOMM may therefore seek timely injunctive relief to protect QUALCOMM's rights under this Agreement in addition to any and all remedies at law. Controlling Law. This Agreement shall be interpreted, construed, governed and enforced according to the laws of the State of California. Any action to construe or enforce this Agreement shall be brought only in the courts of competent jurisdiction in San Diego County, California. LICENSEE hereby stipulates that the Superior Court of the State of California for the County of San Diego or the United States District Court for the Southern District of California shall have in personam jurisdiction and venue over LICENSEE for the purpose of litigating any dispute or controversy arising out of or related to this Agreement. Termination. This License is effective until terminated. LICENSEE may terminate this License at any time by destroying all copies of the QUALCOMM PureVoice Software and its documentation. This License will terminate immediately upon written notice from QUALCOMM if LICENSEE fails to comply with any provision of this License. Upon termination LICENSEE must destroy all copies of the QUALCOMM PureVoice Software and Application Programs in LICENSEE's possession or under its control and its documentation and certify in writing to QUALCOMM that such has been destroyed. Termination shall not affect licenses to the Application Programs granted prior to termination so long as such licenses were granted pursuant to the provisions of this Agreement. Confidentiality. LICENSEE acknowledges and agrees that the QUALCOMM PureVoice Software, all technical documentation delivered to LICENSEE by QUALCOMM hereunder, and all other information relating to the design, development, configuration, use, operation and maintenance of the QUALCOMM PureVoice Software constitutes confidential and proprietary information of QUALCOMM (referred to as "Confidential Information"). LICENSEE shall maintain the QUALCOMM PureVoice Software under strict confidence and shall not duplicate, disclose or transfer to any third person, or use any Confidential Information other than in accordance with this License. Assignment. LICENSEE shall not assign this License or any right or interest hereunder, nor delegate any obligation to be performed without QUALCOMM's prior written consent. The rights and remedies expressly provided herein are not exclusive, but are cumulative and in addition to any other rights and remedies available at law or in equity. The rights and obligations which by their sense and context are intended to survive any termination or expiration of the License shall so survive. By using the QUALCOMM PureVoice Software, LICENSEE acknowledges that LICENSEE has read this License, understands it, and agrees to be bound by its terms and conditions.
